1. Business use, eligibility and account registration

The Service is intended for business and professional use only. By using the Service, you confirm that you are acting in the course of a business, trade, or profession and not as a consumer. You must be at least the age of majority in your jurisdiction to use the Service. When you create an account, you agree to provide accurate information and to keep your credentials secure.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to "you" include that organization.

2. Subscriptions, billing and taxes

Certain features require a paid subscription. Subscriptions are billed via our payment provider (Stripe). Pricing and plan details are displayed at checkout. Subscriptions automatically renew for successive periods unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting us. We offer a 30-day money-back guarantee for paid subscriptions.

Fees are exclusive of taxes, levies, or duties (including VAT) unless stated otherwise, and you are responsible for any such taxes associated with your subscription. If payment fails or is overdue, we may suspend access to paid features until payment is resolved, after providing reasonable notice where practicable.

We may change subscription prices on renewal. Where we do, we will provide advance notice as required by applicable law, and the new price will apply from your next renewal date.

3. Acceptable use

You agree not to:

• Use the Service in violation of any applicable law
• Attempt to gain unauthorized access to accounts, systems, or data
• Interfere with or disrupt the Service (including by abuse, scraping, or denial-of-service)
• Reverse engineer or attempt to extract source code except to the extent permitted by law
• Resell, sublicense, rent, or otherwise provide access to the Service itself to third parties, except as expressly permitted by these Terms or by written agreement with us
• Use the Service or its outputs to develop, train, or improve a competing product or service, or to benchmark the Service for competitive purposes
• Systematically scrape, bulk-extract, or harvest outputs, datasets, or assessment results from the Service
• Remove or obscure proprietary notices or required third-party attributions in outputs

4. Customer content

You may upload or enter content into the Service (for example, portfolio names, site locations, and energy or emissions data) ("Customer Content"). You retain ownership of your Customer Content. You grant us a limited license to host, process, and display your Customer Content solely to provide, maintain, and secure the Service.

We do not use Customer Content to train or fine-tune machine learning models, and we do not sell Customer Content. We may create and use aggregated or de-identified data derived from use of the Service for analytics, benchmarking, and service improvement, provided it does not identify you or your organization.

How we handle personal data is described in our Privacy Policy, and our Data Processing Addendum applies where we process personal data on your behalf.

5. Intellectual property and license

The Service, including software, design, scoring methodologies, models, datasets we compile, and trademarks, is owned by us and our licensors and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription, solely for your internal business purposes and as permitted by these Terms.

Subject to that license, you own the specific reports, exports, and analyses generated through your account from your Customer Content ("Outputs"). We retain all rights in the underlying models, methodologies, scoring systems, and datasets used to produce Outputs, and you acknowledge that Outputs generated for other customers may be similar.

6. Professional and consultant use

If you use the Service as a consultant, advisor, or service provider, you may share Outputs with your own clients as part of your professional deliverables. Unless we agree otherwise in writing, you may not:

• Provide your clients with login access to the Service or share your account credentials
• Resell or sublicense access to the Service itself (as distinct from sharing Outputs)
• White-label or rebrand the Service or its application interface
• Remove required attributions to third-party data sources contained in Outputs

You remain responsible for how you present and use Outputs with your clients, including any advice, representations, or commitments you make in relation to them.

7. Third-party data

Outputs incorporate or are derived from third-party datasets (for example, climate hazard, emissions factor, geospatial, and policy datasets) which are provided under their own licenses and terms. We do not control and do not warrant the accuracy, completeness, or currency of third-party data. Where Outputs contain required attributions to third-party sources, you must retain them when sharing Outputs.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, or availability.

Climate-related outputs, risk assessments, emissions estimates, adaptation recommendations, scenario analyses, and other outputs generated by the Service are provided for informational purposes only. Such outputs are based on assumptions, models, third-party datasets, and methodologies that may be incomplete, inaccurate, outdated, or subject to uncertainty. AI-generated insights, outputs or advice may contain errors, omissions, or inaccuracies and should be reviewed by qualified personnel before using such information.

The Service does not provide legal, financial, investment, engineering, accounting, insurance, regulatory, or other professional advice. Users remain solely responsible for evaluating and verifying all outputs and determining their suitability for any particular purpose. You are responsible for independently evaluating the suitability of the Service for your use case.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components, nor do we warrant the accuracy, completeness, or fitness for purpose of any output generated by the Service.

9. Customer responsibilities

You are solely responsible for all decisions, actions, disclosures, filings, reports, investments, transactions, compliance activities, and business operations undertaken in reliance on the Service or its outputs. You acknowledge that the Service is intended to support, and not replace, professional judgment. You must independently review and evaluate all outputs before relying on them. You represent and warrant that you have all rights, permissions, and authority necessary to upload, submit, store, or process any data or content through the Service.

10. Indemnification

You agree to defend, indemnify, and hold harmless ClimatePro and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• your use of the Service;
• your violation of these Terms;
• your content, data, or materials submitted to the Service;
• decisions, actions, disclosures, filings, or deliverables made by you or your clients in reliance on Outputs, including any claims brought by your clients or other third parties to whom you provide Outputs; or
• your violation of any rights of a third party, including intellectual property, confidentiality, privacy, or data protection rights.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, business, contracts, goodwill, anticipated savings, loss or corruption of data, or the cost of procuring substitute services, in each case arising out of or relating to the Service or these Terms, however caused and under any theory of liability.

In no event shall ClimatePro's aggregate liability arising out of or relating to the Service or these Terms exceed the total amount paid by the customer to ClimatePro during the twelve (12) months preceding the event giving rise to the claim. This cap does not apply to your obligation to pay fees due for the Service.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

12. Confidentiality

Each party may receive non-public information from the other in connection with the Service ("Confidential Information"). Each party agrees to use the other's Confidential Information only for the purposes of these Terms, to protect it with at least reasonable care, and not to disclose it to third parties except to personnel, advisors, or subprocessors who need it and are bound by confidentiality obligations. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known, is independently developed, or must be disclosed by law (in which case the receiving party will, where permitted, give reasonable notice). Your Customer Content is your Confidential Information.

13. Termination

We may suspend or terminate access to the Service if you violate these Terms or if necessary to protect the Service or other users. You may stop using the Service and cancel your subscription at any time. On termination, your right to access the Service ends, and we will handle your data as described in our Privacy Policy and Data Processing Addendum.

14. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

15. Force majeure

Neither party will be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.

16. Feedback

If you provide us with feedback or suggestions regarding the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate such feedback for any purpose without compensation to you.

17. Order of precedence and entire agreement

These Terms, together with the Privacy Policy and Data Processing Addendum (each incorporated by reference), constitute the entire agreement between you and us regarding the Service. If you have a separately signed order form, subscription agreement, or master services agreement with us, that agreement prevails over these Terms to the extent of any conflict.

18. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.

We may update these Terms from time to time. If we make material changes, we will provide notice by email or through the Service as required by law, and the updated Terms will be posted on this page with a new effective date.
